Terms of Service

1. Acceptance of Terms

By creating an account on or using the Sprigg platform, including our website, web application, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Sprigg AI, LLC ("Sprigg," "we," "us," or "our").

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Our Privacy Policy is incorporated into these Terms by reference. Please review it carefully.

2. Description of Service

Sprigg is a software-as-a-service (SaaS) platform that connects to smart irrigation controllers (currently Rachio and Orbit B-Hyve) and uses artificial intelligence to provide daily watering recommendations and, optionally, automated irrigation execution for residential and commercial properties.

We may add, modify, suspend, or discontinue any part of the Service, including features, integrations, or plan entitlements, at any time.

The Service operates in two modes:

  • Audit Mode (default): The AI analyzes weather, soil conditions, and disease risk to generate watering recommendations, which are logged for your review. No irrigation actions are taken automatically.
  • Active Mode (opt-in): In addition to generating recommendations, the AI automatically executes irrigation commands on your connected controller without requiring per-action confirmation from you.

The Service also includes an AI-powered chat assistant ("Ask Sprigg") that can answer lawn care questions and may trigger irrigation actions such as starting or stopping zones through interactive workflows.

3. Account Registration and Security

To use the Service, you must create an account by providing a valid email address and password. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and not share your credentials with others.
  • Notify us promptly at legal@sprigg.ai if you suspect unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Third-Party Integrations and Credentials

The Service requires you to connect third-party accounts (such as Rachio or Orbit B-Hyve) by providing API keys or login credentials. By providing these credentials, you:

  • Authorize Sprigg to act on your behalf to retrieve device information, watering history, and to send control commands (start zones, stop zones, set rain delays) to your irrigation controller.
  • Represent that you have the right to grant Sprigg access to these third-party accounts and the irrigation hardware they control.
  • Acknowledge that Sprigg is not responsible for changes to third-party APIs, service outages, or credential revocation by the third-party provider.
  • Acknowledge that your use of third-party services remains subject to the third party's own terms and policies.

Your integration credentials are stored encrypted using AES-256-GCM. You may disconnect any integration at any time by clearing your credentials in the Settings page, which immediately stops Sprigg from accessing that service.

5. Automated Irrigation and AI Disclaimers

THIS SECTION CONTAINS IMPORTANT DISCLAIMERS ABOUT AUTOMATED ACTIONS THAT AFFECT PHYSICAL PROPERTY. PLEASE READ IT CAREFULLY.

5.1 Active Mode

If you enable Active Mode, the Service will automatically start and stop irrigation zones on your connected controller based on AI-generated recommendations. These actions occur daily on a scheduled basis without requiring per-action confirmation from you.

By enabling Active Mode, you acknowledge and accept that:

  • The system will automatically control physical irrigation hardware on your property.
  • Automated watering could result in overwatering, underwatering, water waste, increased water bills, property damage (including but not limited to flooding, erosion, and foundation issues), or plant damage and death.
  • The system operates on a daily cron schedule and may water at times you do not expect.
  • You assume all risk associated with enabling automated irrigation control.

By enabling Active Mode, you voluntarily assume the risks associated with automated irrigation control and release Sprigg from claims arising from those risks to the maximum extent permitted by law.

5.2 AI Recommendations

All irrigation recommendations are generated by artificial intelligence (powered by Anthropic Claude). These recommendations are provided on an "as-is" basis and are not guaranteed to be accurate, complete, or appropriate for your specific property, soil, grass type, or local conditions.

The AI bases its decisions on weather data, zone configurations, disease risk models, and property information you provide. If the information you provide is inaccurate or incomplete, the recommendations will reflect those inaccuracies.

Sprigg does not employ certified irrigation professionals, agronomists, or horticulturists. The Service does not provide professional engineering, irrigation, landscaping, agronomic, horticultural, legal, or regulatory advice. You should exercise independent judgment and actively monitor your lawn, property, and irrigation system.

5.3 Chat AI Actions

The Ask Sprigg chat assistant may enable irrigation actions (including starting or stopping zones) and modify your lawn care calendar through interactive workflows. You are responsible for reviewing any proposed action and for any action taken through the chat experience.

5.4 Water Restrictions

You are solely responsible for complying with all applicable local, state, and federal water use regulations, drought ordinances, and homeowners association (HOA) rules. Sprigg does not monitor or enforce local water use restrictions, and automated watering may violate such restrictions.

5.5 Your Responsibilities

You are responsible for monitoring your property, irrigation system, water usage, drainage conditions, controller settings, and all automated or manual irrigation activity. You are also responsible for maintaining your irrigation hardware, valves, lines, sensors, and controller in safe working condition. Sprigg is not responsible for hardware malfunctions, leaks, broken lines, faulty valves, sensor failures, or other equipment issues.

6. Subscription Plans and Billing

The Service offers free and paid subscription tiers with different feature entitlements, including but not limited to analysis history depth, AI usage budgets, Active Mode access, number of properties, and calendar features. Current plan details and pricing are available within the Service.

For paid plans, payment is processed by our third-party payment processor. By subscribing to a paid plan, you authorize recurring charges at the applicable rate. We may change pricing with at least 30 days' prior notice. You may cancel your subscription at any time; access to paid features will continue until the end of your current billing period.

If your subscription lapses or payment fails, your account may be downgraded to the free tier, and access to features beyond the free tier's entitlements will be restricted.

Except as required by law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods or unused features.

7. Acceptable Use

You agree not to:

  • Use the Service to violate any applicable law, including water use regulations.
  • Use the Service to irrigate property you do not own or have lawful authority to manage.
  • Reverse-engineer, decompile, or attempt to extract the AI models, prompts, or algorithms used by the Service.
  • Share your account credentials with third parties.
  • Abuse rate limits, circumvent usage limits, or interfere with the Service's operation.
  • Upload harmful, illegal, or objectionable content via photos, chat, or other inputs.
  • Attempt to manipulate the AI to bypass safety limits or programmatic safeguards.

8. Intellectual Property

Sprigg AI, LLC owns all intellectual property rights in the Service, including its software, AI prompts, algorithms, user interface, and branding. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand features without prior written consent.

You retain ownership of all data you provide to the Service (property information, photos, calendar entries, chat messages, etc.). By using the Service, you grant Sprigg a non-exclusive, worldwide, royalty-free license to use, process, and store your data as necessary to provide and improve the Service, including the right to use anonymized and aggregated data for analytics and service improvement purposes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SPRIGG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Sprigg does not warrant that:

  • AI-generated irrigation recommendations will be accurate, complete, or appropriate for your property.
  • The Service will be uninterrupted, error-free, or available at all times.
  • Automated irrigation actions will produce desired outcomes for your lawn, landscape, or property.
  • Weather data, disease risk assessments, or other third-party data will be accurate or timely.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPRIGG AI, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, PROPERTY, PLANTS, LANDSCAPING, OR UTILITIES COSTS, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, SPRIGG'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SPRIGG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

The limitations in this Section apply regardless of the theory of liability, including contract, tort, negligence, strict liability, or otherwise.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sprigg AI, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your misuse of the Service, including use of Active Mode in violation of these Terms or applicable law.
  • Your violation of any applicable water use laws, restrictions, or regulations.
  • Your breach of these Terms.
  • Your inaccurate, incomplete, or unauthorized configuration of property, zone, or integration information.
  • Your unauthorized use of third-party integrations or hardware through the Service.

12. Termination

You may stop using the Service at any time. To request full account deletion, please contact us at legal@sprigg.ai. Account deletion is processed by our team and involves marking your account and associated data as deleted.

Deleting your account with Sprigg does not automatically delete or modify your accounts with third-party providers such as Rachio or Orbit B-Hyve.

We may terminate or suspend your account at any time for violation of these Terms, non-payment, abusive behavior, or at our reasonable discretion with notice. Upon termination:

  • Active Mode is disabled immediately, stopping all automated irrigation.
  • Your data will be marked as deleted in accordance with our Privacy Policy.
  • Sections 5, 8, 9, 10, 11, 13, 14, and 15 survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Arbitration Rules (Consumer Arbitration Rules for individual users, or Commercial Arbitration Rules for business users). The arbitration shall be conducted in South Carolina. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

YOU AND SPRIGG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Modifications to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice through the Service or via email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service before they take effect.

15. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sprigg regarding the Service.
  • Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure. Sprigg is not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, power outages, internet disruptions, or third-party service failures.
